  • Please read these Terms and Conditions carefully before subscribing to or using the Bo-sco Service. By completing a subscription, you confirm that you have read, understood, and agree to be bound by these Terms.

    1. Nature of Service and Subscription Model
    Bo-sco (the “Service”) provides a digital, subscription-based literary intellectual property (IP) scouting and analysis service. By enrolling in a subscription, the Subscriber (the “User”) agrees to a recurring billing cycle based on the specific tier selected at the time of purchase. All financial transactions, including subscription fees, taxes, and recurring payments, are processed securely via Stripe. By using this Service, the User also agrees to be bound by Stripe’s Services Agreement. Subscriptions may be managed or cancelled at any time through the User’s account dashboard; however, such cancellation shall only be effective for the subsequent billing period.

    2. Scope of Information and “Best Efforts” Research
    Bo-sco delivers curated monthly intelligence reports regarding literary IP, including titles in the public domain or those believed to be unadapted. The User acknowledges that the chain of title, option status, and rights availability within the publishing and cinematic industries are notoriously opaque and subject to rapid, unannounced changes. While the Bo-sco team conducts rigorous, good-faith research into every title within the reasonable limits of available industry data, Bo-sco does not warrant that the information is exhaustive or error-free. Specifically, Bo-sco cannot guarantee that a title is not currently under a “quiet” option, a pocket deal, or a private development agreement that has not been registered in public or industry-standard databases. All reports are provided on an “as-is” and “as-available” basis, based on date of publication for any individual report.

    3. Limitation of Liability and Independent Due Diligence
    Bo-sco operates strictly as an advisory intelligence provider. It does not function as a legal counsel, talent agency, or literary brokerage. The contents of any report do not constitute legal advice or a formal recommendation to invest. The User expressly agrees that Bo-sco, its founders, and its employees shall not be held liable for any business decisions, financial losses, failed negotiations, or legal disputes arising from the use of the Service. It is the sole responsibility of the Subscriber to perform independent due diligence, including but not limited to formal rights inquiries through legal counsel or authorised representatives, before entering into any negotiations or agreements for the acquisition of IP.

    3a. Third-Party Intellectual Property Rights
    The literary works, manuscripts, treatments, and other IP featured or analysed within Bo-sco reports are the creative and legal property of their respective authors, estates, publishers, or rights holders. Bo-sco’s inclusion of any title within a report constitutes analysis and editorial commentary only; it does not convey, transfer, or imply any licence, option, or permission to use the underlying work in any form.

    The User acknowledges that reproducing, adapting, developing, or otherwise exploiting any featured work — including its plot, characters, structure, themes, or expression — without first securing the appropriate rights through formal legal channels constitutes copyright infringement and may give rise to additional claims, including breach of implied contract, under applicable law.

    Bo-sco shall bear no liability whatsoever for any legal action brought against a Subscriber by a third-party rights holder arising from the Subscriber’s use of, or reliance upon, information contained in a Bo-sco report. The Subscriber agrees to indemnify and hold Bo-sco harmless from any such third-party claim.

    4. Intellectual Property, Confidentiality, and Use Restrictions
    All reports, analysis, proprietary formatting, and curated lists provided by Bo-sco are the protected intellectual property of the Service. Subscriptions are granted for individual use or internal corporate circulation only. The User is strictly prohibited from:
    — Redistributing, reselling, or sub-licensing the reports to third parties.
    — Publicly publishing excerpts or full reports on social media, blogs, or industry forums.
    — Utilising the data to create a competing scouting or database service.
    Any breach of these restrictions will result in immediate termination of the subscription without a refund and may subject the User to legal action for copyright infringement.

    5. Digital Delivery via Beehiiv/Stripe and Refund Policy
    Reports are delivered electronically to the email address provided by the Subscriber. Bo-sco utilises Beehiiv as its primary distribution and newsletter platform. By subscribing, the User acknowledges that delivery is subject to the technical uptime of Beehiiv. Due to the intangible and immediate nature of digital information, Bo-sco maintains a strict no-refund policy for reports already delivered or for billing cycles already initiated. If a Subscriber encounters technical impediments in accessing a file, Bo-sco will provide a replacement digital copy upon verification of the issue, but this shall not entitle the Subscriber to a monetary refund.

    6. Indemnification
    The Subscriber agrees to indemnify, defend, and hold harmless Bo-sco and its affiliates from any claims, damages, or expenses (including legal fees) arising from the Subscriber’s misuse of the information provided or any breach of this Agreement.

    7. Modification and Termination of Service
    Bo-sco reserves the right to modify, suspend, or discontinue the Service at any time. We further reserve the right to terminate any individual subscription for a breach of these Terms, particularly regarding unauthorised redistribution. If the Service is terminated by Bo-sco for reasons other than a breach of contract, a pro-rata refund for the remaining portion of the prepaid billing period will be issued via Stripe.


    8. Independent Curator Status and Disclaimer of Brokerage Services
    The User acknowledges and agrees that Bo-sco operates strictly as an independent, objective curator of literary intelligence. To preserve editorial integrity and ethical impartiality, the Service does not act as an agent, broker, or intermediary for any party. Consequently, Bo-sco bears no responsibility for, and shall not engage in, the facilitation, negotiation, or execution of options, shopping agreements, rights sales, or any other licensing transactions. Bo-sco will not perform any liaising, introductions, or brokerage services between authors, rights holders, and interested production parties. All such inquiries and transactions must be initiated and conducted directly between the interested parties and their respective authorized representatives.
